Governance Framework

Board Oversight

The Board of Directors provides strategic direction, risk oversight, and accountability across all JHS operations. The Board is responsible for approving major policies, overseeing executive management, and ensuring the long-term sustainability of the organisation.

Accountability & Conduct

Every employee and representative of JHS is responsible for understanding and complying with our Code of Ethics. Managers and leaders are expected to lead by example, reinforce ethical conduct, and support a culture of integrity throughout the organisation.

Risk Management

JHS maintains governance structures that include risk oversight, regulatory compliance monitoring, and continuous policy improvement. Potential conflicts of interest must be disclosed promptly and managed transparently.

ESG Integration

Environmental, Social, and Governance considerations are embedded into our strategic planning, procurement, and operational decision-making. The Board monitors ESG performance as a core component of long-term value creation.

Compliance Oversight

The Board oversees the implementation and review of all compliance frameworks including the Code of Ethics, Data Protection Policy, and Environmental Sustainability Policy. These are reviewed annually and updated to reflect regulatory developments.

Transparency & Reporting

JHS is committed to transparent reporting across its operations. Reports made in good faith regarding unethical conduct, compliance violations, or governance concerns are treated responsibly, fairly, and confidentially. Retaliation is strictly prohibited.

Patrick Obath is an experienced Board Chairman with over 35 years of business experience spanning local and global boards across different sectors of the economy. He is well versed in health, safety and environment management systems and processes, and is a passionate advocate of board diversity and long-term sustainability.

Benard W. Njoroge

Benard Njoroge is the Founder and Group Managing Director of Jos•Hansen, providing strategic direction and vision for the company across African markets. He pioneered the introduction of CyberKnife Oncology Equipment in Kenya and is a Pan Africanist committed to sustainable technology and social impact.
